Step 1 — Direct Negotiation (90 days)

If the Dispute is not resolved within the Negotiation Period, either party may refer the matter to non-binding mediation conducted by a mutually agreed neutral mediator. The costs of mediation shall be shared equally between the parties unless otherwise agreed. The mediation shall be conducted in New Jersey, United States, or virtually by mutual agreement. The mediator shall have no authority to impose a binding resolution. All mediation proceedings shall be strictly confidential.
Step 3 — Litigation
If the Dispute remains unresolved following mediation, either party may pursue resolution through the courts of competent jurisdiction in the State of New Jersey. Both parties irrevocably consent to the exclusive jurisdiction of such courts for the purposes of resolving any Dispute that has not been resolved through negotiation or mediation.
Notwithstanding the foregoing, Elyvance LLC reserves the right to seek immediate injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its intellectual property rights or prevent irreparable harm, without the obligation to first complete the negotiation or mediation steps above.
11. Modifications to These Terms
Elyvance LLC preserves the right to modify these Terms of Use at any time at its sole discretion. Any modifications will be effective immediately upon posting to the Website.
